Terms of Use

These Terms of Use (“Terms”) are a binding agreement between you and Ministerium LLC (“Ministerium,” “we,” “us,” or “our”) governing your access to and use of the Ministerium.ai website, parish administration portal, donation pages, NFC-enabled links, and related services (collectively, the “Service”).

By accessing or using the Service, creating an account, accepting an order or subscription, or submitting a donation instruction, you agree to these Terms and acknowledge the Privacy Notice. If you use the Service for a Parish or other organization, you represent that you have authority to bind that organization, and “you” includes both you and that organization.

If you do not agree, do not use the Service.

You must be at least 18 years old and able to form a binding contract to create an account, purchase a Ministerium subscription, or act for a Parish. A person under the age of legal majority may donate only with the involvement and permission of a parent or legal guardian and as permitted by law. The Service is not directed to children under 13.

At launch, Parish accounts are available only to manually approved Texas Catholic parishes and related diocesan entities that Ministerium approves in its discretion (“Parish Customers”). Ministerium may require identity, authority, tax-status, church-status, banking, location, organizational, diocesan, and Stripe connected-account verification before activation and at any time afterward.

Ministerium provides software that enables approved Parish Customers to publish donation pages, associate NFC tags or links with those pages, connect eligible Stripe accounts, receive one-time or recurring donation instructions, administer donation and cause information, and generate or send transaction records and acknowledgments.

Ministerium is a technology provider. Unless a separate written agreement expressly states otherwise, Ministerium is not the charitable recipient, a bank, an escrow agent, a fiduciary, a donor-advised fund, a tax adviser, legal counsel, accounting firm, or investment adviser. A donation made through the Service is made to the Parish identified on the donation page, not to Ministerium.

Labels in these Terms do not override any status or obligation imposed by applicable fundraising, payment, charitable-solicitation, consumer-protection, or other law.

Each Parish Customer represents, warrants, and agrees that:

• it is validly organized, in good standing where required, and lawfully eligible to solicit and receive the donations offered through its pages;
• the person accepting these Terms and every administrator it authorizes has appropriate authority;
• all organizational, tax-status, banking, cause, contact, and public-page information it provides is accurate, current, and not misleading;
• it will maintain all registrations, permissions, diocesan approvals, charitable-solicitation filings, tax exemptions, and other legal authority required for its activities;
• it will use the Service only for bona fide donations supporting lawful religious or charitable purposes and will not use it to sell goods or services, run raffles or games of chance, process political contributions, evade payment rules, or conduct unlawful or misleading fundraising;
• unless clearly disclosed and expressly supported by a separate Ministerium feature and written agreement, no goods or services are provided in exchange for a donation;
• it is responsible for the accuracy of its causes, appeals, statements, tax identification, and representations to donors;
• it is responsible for legally required donor acknowledgments, tax substantiation, disclosures, registrations, refunds, restrictions on gifts, and use of donated funds, even if Ministerium supplies tools or templates;
• it will access, export, use, secure, and disclose donor information only as permitted by law, the Privacy Notice, its own applicable notice, and its agreements with donors;
• it will not send marketing messages to a donor without the consent or other legal basis required by law and will honor unsubscribe and privacy requests;
• it will promptly remove access for users who are no longer authorized and notify Ministerium of suspected account compromise; and
• it will comply with Stripe’s terms and all laws and network rules applicable to payments, recurring charges, disputes, refunds, and connected accounts.

The Parish Customer, not Ministerium, controls the purpose and use of donations and is responsible for restrictions or designations it accepts.

You must provide accurate account information and keep it current. You may not share credentials, allow unauthorized access, impersonate another person, or use another person’s account without permission. You are responsible for activity under your credentials and for the acts of administrators you authorize, except to the extent caused by Ministerium’s breach of these Terms or applicable law.

Roles and permissions limit access within the Service, but a Parish Customer remains responsible for selecting appropriate administrators and reviewing their access. Notify Ministerium promptly through https://www.ministerium.ai/contact if you suspect unauthorized access or a security incident.

Donation payments and Ministerium subscription payments are processed by Stripe or another disclosed payment provider. Use of payment services is subject to the provider’s terms, privacy notice, verification requirements, prohibited-business rules, and connected-account agreement, as applicable.

A Parish Customer authorizes Ministerium and Stripe to create, connect, and administer the technical integration required to provide the Service and to exchange transaction, connected-account, refund, dispute, subscription, fraud, and status information as described in the Privacy Notice.

Ministerium does not store full payment-card numbers or card security codes and does not guarantee that Stripe or any payment method will approve, complete, settle, or pay out a transaction. Stripe or a financial institution may delay, refuse, reverse, reserve, or investigate transactions under its rules or applicable law.

When you submit a one-time donation, you authorize the displayed amount to be charged using your selected payment method and directed to the identified Parish through its connected payment account. Review the Parish, cause, amount, frequency, and payment details before confirming.

By initiating a donation, you represent that you are not located in California and are not using the Service to evade the California exclusion in Section 2. Ministerium may decline or block a transaction when reliable server-derived location or Parish signals indicate California.

Donations are generally final once processed. Refund requests must be directed to the recipient Parish. Ministerium may provide technical assistance, but the Parish is responsible for refund decisions and legally required refunds. Payment-provider fees, processing limitations, and settlement status may affect whether and how a refund is completed.

If you select a recurring donation, you expressly authorize the identified Parish and its payment provider to charge the displayed amount to your selected payment method at the displayed interval until the recurring donation is canceled or otherwise ends. The frequency, amount, recipient, and method of cancellation must be shown before confirmation.

You may cancel future recurring charges through the management link or cancellation method provided with the donation confirmation or receipt. Cancellation stops charges scheduled after the cancellation becomes effective; it does not automatically refund a charge already initiated or completed. If the management link is unavailable, contact the Parish or use https://www.ministerium.ai/contact.

The Parish must not obstruct cancellation or require a cancellation method that is unreasonably more difficult than enrollment. If a payment method expires or fails, Stripe or the Parish may update payment credentials through permitted account-updater services, retry a charge, or suspend the recurring donation, subject to law and payment-network rules.

Ministerium may generate or deliver an acknowledgment based on information supplied by the Parish and payment provider. An acknowledgment confirms information recorded by the Service; it is not tax, legal, or accounting advice and does not itself determine deductibility.

The Parish is responsible for ensuring that its acknowledgment contains all statements required by law, including whether goods or services were provided and any required good-faith estimate. Ministerium is designed for donation-only transactions in which no goods or services are exchanged, but the Parish must ensure that statement is true for every donation.

Donors are responsible for determining deductibility and maintaining records required for their circumstances. Consult a qualified tax adviser. Ministerium does not guarantee that a Parish is tax-exempt, in good standing, or eligible to receive tax-deductible contributions at the time of every donation.

A donor should contact the Parish first regarding an incorrect, unauthorized, or disputed donation. Nothing in these Terms limits rights that cannot legally be waived. A donor may also have rights through the payment provider or financial institution.

Parish Customers are responsible for responding to disputes, providing evidence, maintaining sufficient connected-account balances, and paying refunds, reversals, chargebacks, network assessments, or other amounts allocated to them under Stripe’s terms or applicable law. Ministerium may preserve records and cooperate with Stripe, financial institutions, regulators, Parishes, or donors to investigate a payment or dispute.

Paid Parish plans, features, prices, billing intervals, included services, taxes, and any trial or promotion are described on the applicable order, checkout, or pricing page. By starting a paid plan, the Parish Customer authorizes the disclosed recurring subscription charge and applicable taxes to the selected payment method until canceled.

Unless the order states otherwise, a monthly plan renews each month. The Parish Customer may cancel through the account billing controls or https://www.ministerium.ai/contact. Cancellation takes effect at the end of the current paid billing period unless the checkout or applicable law states otherwise. Fees already charged are nonrefundable except where required by law or expressly promised in writing. Ministerium will disclose material recurring-payment terms before purchase and provide a reasonably simple cancellation method.

Ministerium may change fees prospectively by giving the notice required by law or the applicable order. Continued use after the new price takes effect constitutes acceptance; cancellation remains available before the next affected renewal.

An NFC tag or QR code may direct anyone who scans or taps it to a public Parish donation page. Parish Customers are responsible for authorized placement, accurate association, physical security, removal of replaced or compromised tags, and ensuring that signage is not misleading.

You may not alter, clone, redirect, cover, replace, or interfere with a tag, code, or link without authorization. Report suspected tampering through https://www.ministerium.ai/contact. Ministerium does not guarantee that every device, browser, tag, wallet, network, or location will support NFC or a particular payment method.

If Ministerium separately sells physical tags or materials, the applicable order will govern price, shipping, replacement, and any limited product warranty. The Service warranty disclaimers in these Terms otherwise apply.

You may not use the Service to:

• violate law, payment-network rules, sanctions, export controls, or another person’s rights;
• misrepresent a Parish, cause, charitable status, donation use, affiliation, endorsement, or tax consequence;
• process sales, fees, political contributions, unlawful raffles, gambling, cash advances, money transmission, or transactions disguised as donations;
• exploit, harm, or collect information from children unlawfully;
• upload malware, probe or bypass security, interfere with operation, or access data without authorization;
• scrape, harvest, sell, rent, or misuse donor or account information;
• send spam or unlawful marketing communications;
• reverse engineer or copy the Service except where law expressly permits it;
• use automated means that impose an unreasonable load or evade rate limits; or
• assist another person in doing any of the foregoing.

Ministerium may investigate suspected violations and suspend or restrict access when reasonably necessary to protect donors, Parishes, the Service, or others.

As between Ministerium and a Parish Customer, the Parish Customer retains ownership of the content and data it lawfully submits to the Service. The Parish Customer grants Ministerium a worldwide, nonexclusive, limited license to host, copy, process, transmit, display, and otherwise use that content and data only as needed to provide, secure, support, and improve the Service; comply with law; and enforce these Terms.

The Parish Customer represents that it has all rights and permissions needed for content and data it submits. Ministerium may remove content that is unlawful, misleading, insecure, infringing, or inconsistent with these Terms.

Ministerium will handle personal information as described in the Privacy Notice and any separately executed data-processing terms. A Parish Customer may export available records while its account is active, subject to permissions and plan limits. Exported data must be protected and used lawfully.

The Service—including software, design, text, graphics, interfaces, compilation, trademarks, logos, and other materials supplied by Ministerium—is owned by Ministerium or its licensors and protected by intellectual-property law. Subject to these Terms, Ministerium grants you a limited, revocable, nonexclusive, nontransferable right to use the Service for its intended purpose.

No rights are granted except as expressly stated. Parish names, logos, and content remain the property of the Parish or their respective owners.

If you provide feedback or suggestions, you grant Ministerium a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation, provided Ministerium does not publicly identify you as the source without permission.

You consent to receive agreements, notices, receipts, billing communications, security alerts, and other transactional records electronically. You are responsible for keeping contact information current. Electronic records satisfy any requirement that communications be in writing to the extent permitted by law.

Marketing communications, if any, are governed by the Privacy Notice and applicable consent and unsubscribe requirements. Opting out of marketing does not stop necessary transactional or legal communications.

The Service depends on third parties such as Stripe, hosting, database, authentication, email, security, wallet, browser, network, and device providers. Their products are governed by their terms. Ministerium is not responsible for a third party’s independent acts, outages, security, decisions, or changes, but this does not limit responsibilities Ministerium cannot lawfully disclaim.

Links to third-party or Parish websites do not imply endorsement.

Ministerium may improve, modify, add, or discontinue Service features. We will provide notice when required by law or a separate agreement. We do not guarantee uninterrupted, error-free, or universally compatible operation. Maintenance, security events, provider outages, legal requirements, or circumstances beyond our control may affect availability.

Features identified as beta, preview, pilot, or experimental may be changed or withdrawn and may have additional limitations. Do not rely on a beta feature for a legal or financial obligation without an independent process.

You may stop using the Service at any time. A Parish Customer may cancel its subscription as described in Section 11.

Ministerium may suspend or terminate access if we reasonably believe that you violated these Terms; failed to pay fees; created legal, security, fraud, payment, or reputational risk; lost eligibility; used the Service unlawfully; or if suspension is required by Stripe, a regulator, a court, or law. When reasonable and lawful, we will provide notice and an opportunity to cure.

Upon termination, the right to use the Service ends. Ministerium may provide a reasonable opportunity for an authorized Parish administrator to export available data, unless prohibited by law, security concerns, nonpayment, or the need to protect others. Ministerium may retain records as described in the Privacy Notice. Sections that by their nature should survive—including payment obligations, intellectual property, disclaimers, limitations, indemnity, disputes, and miscellaneous terms—survive termination.

Termination of Ministerium does not automatically cancel recurring donations maintained by Stripe for a Parish. The Parish and Ministerium must follow the applicable offboarding process so donors retain a lawful way to manage or cancel recurring charges.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” MINISTERIUM DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

MINISTERIUM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH EVERY DEVICE OR PAYMENT METHOD; THAT A DONATION WILL BE APPROVED, SETTLED, PAID OUT, REFUNDED, OR TAX-DEDUCTIBLE; THAT A PARISH OR DONOR IS WHO THEY CLAIM TO BE; OR THAT PARISH CONTENT, CHARITABLE STATUS, CAUSES, OR USE OF FUNDS ARE ACCURATE OR LAWFUL.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINISTERIUM AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY; OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINISTERIUM’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE FEES THE CLAIMANT PAID DIRECTLY TO MINISTERIUM FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. DONATIONS MADE TO A PARISH ARE NOT FEES PAID TO MINISTERIUM FOR PURPOSES OF THIS CAP.

THE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED. A COURT MAY GIVE THESE LIMITATIONS ONLY THE EFFECT PERMITTED BY APPLICABLE LAW.

To the extent permitted by law, each Parish Customer will defend, indemnify, and hold harmless Ministerium and its owners, officers, employees, contractors, and affiliates from third-party claims, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from: the Parish Customer’s content, causes, solicitation, use or restriction of donations, tax or charitable-status representations, refunds or disputes, use of donor information, violation of law or these Terms, or infringement of another person’s rights.

This obligation does not apply to the extent a claim was caused by Ministerium’s negligence, willful misconduct, breach of these Terms, or violation of law. Ministerium will provide reasonable notice and cooperation, and the Parish Customer may not settle a claim in a manner that admits fault by or imposes obligations on Ministerium without Ministerium’s written consent.

Before filing a claim, you and Ministerium agree to make a good-faith effort for 30 days to resolve it informally after written notice describing the issue and requested relief. Send notice through https://www.ministerium.ai/contact and by mail to the address in Section 27. This requirement does not prevent either party from seeking urgent injunctive relief or using an available small-claims process.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Subject to any law that gives a consumer a non-waivable right to sue elsewhere, exclusive jurisdiction and venue will lie in the state and federal courts located in Montgomery County, Texas, and each party consents to those courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Ministerium may update these Terms prospectively. We will post the updated Terms with a revised date and provide additional notice when required by law or when a change materially affects an active paid plan. Changes do not retroactively alter a dispute that arose before the updated Terms became effective. If you do not agree to updated Terms, stop using the Service and cancel any affected subscription before the change takes effect.

Ministerium may provide translations for convenience and accessibility. The English version controls to the extent permitted by law if a translation conflicts with it. Nothing in this section limits language rights or consumer protections that cannot lawfully be waived.

These Terms, the Privacy Notice, the applicable order or plan terms, and any signed supplemental agreement form the entire agreement concerning the Service and replace prior discussions on that subject. If an order or signed supplemental agreement expressly conflicts with these Terms, the more specific signed term controls for that conflict.

You may not assign these Terms without Ministerium’s written consent. Ministerium may assign them in connection with a merger, reorganization, financing, sale of assets, or by operation of law, subject to applicable law. No waiver is effective unless in writing, and failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions remain effective. Headings are for convenience only. “Including” means “including without limitation.”

Neither party is liable for delay caused by events beyond its reasonable control, except for payment obligations and duties that cannot be excused by law.
